Terms of Service
The terms governing access to and use of JourneyGuru.

These Terms of Service (“Terms”) govern access to and use of the websites, applications, platform, demonstrations, APIs, software, services and other offerings provided by JourneyGuru (“JourneyGuru,” “we,” “our,” or “us”), collectively the “Services.”
By accessing or using the Services, you agree to these Terms.
If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
If you or your organization have entered into a separate written agreement with JourneyGuru governing the Services, that agreement will control to the extent of any conflict with these Terms.
01JourneyGuru
JourneyGuru provides technology designed to help organizations coordinate customer Journeys, data, communications, AI interactions and measurable outcomes across systems and channels.
Depending upon Customer configuration, JourneyGuru may support:
- Journey orchestration
- Journey History
- customer context and memory
- outcomes
- communication orchestration
- SMS / MMS
- RCS
- Voice
- AI Voice
- Push Notifications
- Web Chat
- AI-assisted interactions
- integrations
- permissioning
- communication eligibility
- audit information
- analytics
- Customer-configured automation
JourneyGuru may modify or expand available functionality over time.
02Eligibility and Business Use
The Services are intended primarily for business and organizational use.
You must have legal capacity to enter into these Terms.
If you use JourneyGuru on behalf of an organization, your use must be authorized by that organization.
JourneyGuru may establish additional eligibility, registration, verification or use-case requirements for particular communications services, industries, geographies or functionality.
03Accounts
Some Services require an account.
You are responsible for:
- maintaining accurate account information
- maintaining the confidentiality of credentials
- controlling access to your account
- configuring appropriate roles and permissions
- activities conducted under authorized accounts
- promptly notifying JourneyGuru of suspected unauthorized access
Accounts and credentials may not be shared in a manner prohibited by applicable JourneyGuru documentation or agreement.
JourneyGuru may implement authentication, security and permission requirements intended to protect accounts and information.
04Customer Responsibilities
Customers are responsible for the Journeys, communications, actions, data and business processes they configure through JourneyGuru.
Customers are responsible for:
- having appropriate authority to provide data to JourneyGuru
- determining appropriate purposes for processing Customer Data
- obtaining necessary permissions and consents
- maintaining required disclosures
- honoring opt-outs and communication preferences
- complying with applicable Do Not Call requirements
- correctly identifying communication senders
- complying with communications-provider requirements
- configuring appropriate identity verification
- configuring appropriate human oversight
- determining whether a communication or action is lawful and appropriate
- Customer end-user activities
- Customer-generated content
- Customer-configured AI use cases
- Customer-configured outcomes and Journey logic
JourneyGuru's provision of a technical capability does not by itself establish that a particular Customer use is legally permissible.
05Customer Data
“Customer Data” means data, content, communications, records, files and other information submitted to, connected to, stored in, transmitted through or otherwise processed using the Services by or on behalf of a Customer.
As between JourneyGuru and the Customer, the Customer retains its rights in Customer Data.
The Customer grants JourneyGuru the rights reasonably necessary to:
- host
- process
- transmit
- analyze
- display
- secure
- back up
- transform
- route
Customer Data as necessary to provide and support the Services and as otherwise permitted by the applicable agreement.
JourneyGuru does not acquire ownership of Customer Data solely because it is processed through JourneyGuru.
07Communications Services
JourneyGuru may facilitate communications using JourneyGuru-provisioned infrastructure or Customer-connected third-party infrastructure.
Supported channels may include:
- SMS / MMS
- RCS
- Voice
- Push
- Web Chat
Customers remain responsible for the communication programs they configure and for complying with applicable:
- consent requirements
- sender-identification requirements
- opt-out requirements
- carrier rules
- communications-provider rules
- calling restrictions
- messaging restrictions
- registration requirements
- industry requirements
- law
JourneyGuru may prevent, suspend or restrict communications where JourneyGuru reasonably determines that:
- permission is insufficient
- a provider prohibits the use case
- a carrier or network restricts traffic
- registration is required
- the communication may violate applicable policies
- activity creates security, fraud, abuse or platform-integrity risk
Consent eligibility and channel eligibility may be evaluated independently.

08JourneyGuru-Provisioned Communications Infrastructure
JourneyGuru may make available communication resources including:
- telephone numbers
- messaging services
- sender identities
- email infrastructure
- voice infrastructure
- WhatsApp senders
- RCS agents
- other communications resources
These resources may depend upon third-party providers.
JourneyGuru does not guarantee:
- availability of a particular number
- permanent availability of a sender identity
- message delivery
- call completion
- throughput
- provider acceptance
- carrier acceptance
- registration approval
JourneyGuru may modify, replace, restrict or remove communication resources where reasonably necessary to comply with provider, carrier, security, regulatory or operational requirements.
09Bring-Your-Own Integrations
Customers may be permitted to connect third-party services or Customer-controlled provider accounts.
Examples may include communications providers, CRM systems, data platforms and other business applications.
Customer authorizes JourneyGuru to interact with connected services as necessary to perform Customer-configured functionality.
Customer remains responsible for:
- maintaining the external account
- external provider fees
- provider terms
- access permissions
- integration credentials
- accuracy of imported information
- appropriate use of connected information
JourneyGuru is not responsible for the independent availability, functionality or policy changes of a third-party service.
10AI and Automated Functionality
JourneyGuru may provide artificial intelligence or automated functionality that can:
- generate content
- recommend actions
- communicate
- summarize
- classify
- extract information
- route interactions
- retain permitted context
- evaluate Journey conditions
- support Customer-configured actions
AI-generated output may contain errors, omissions or unexpected results.
Customers are responsible for evaluating whether AI functionality is appropriate for their particular use case and for implementing appropriate oversight.
JourneyGuru does not warrant that AI output will always be:
- accurate
- complete
- current
- appropriate
- error-free
Customers should not rely solely on AI output where independent review is reasonably necessary.
11High-Impact and Regulated Decisions
Unless separately agreed in writing for a specifically supported use case, JourneyGuru is not intended to independently make final high-impact eligibility decisions concerning matters such as:
- credit
- lending eligibility
- employment
- housing
- insurance
- medical treatment
- legal rights
JourneyGuru may orchestrate communications, data and Customer-defined workflows associated with regulated business processes, but the Customer remains responsible for determining the appropriate decision-making, review, disclosures and legal controls required for its use case.
JourneyGuru does not provide legal, financial, medical or regulatory advice.
12Voice and Recording
Where Customers configure Voice, AI Voice, recording, transcription or conversation intelligence, Customers are responsible for determining and implementing appropriate:
- calling consent
- Do Not Call controls
- recording disclosures
- recording consent
- AI voice disclosures
- calling-hour restrictions
- caller identification
- suppression
- jurisdiction-specific requirements
Availability of recording or AI Voice functionality does not itself establish that its use is permissible in a particular jurisdiction or circumstance.
13Demo and Sandbox Environments
JourneyGuru may provide demo, sandbox, trial or proof-of-concept environments.
Unless JourneyGuru expressly states otherwise, such environments:
- are for evaluation
- may contain simulated data
- may contain AI-generated data
- may be changed or reset
- may have different security or availability characteristics from production
- should not be relied upon for real-world transactions
Do not enter:
- production credentials
- highly sensitive personal information
- real financial credentials
- medical information
- authentication secrets
- confidential production information
into a demo environment unless JourneyGuru expressly indicates that the environment is configured to support that information.
Demo output is illustrative and should not be interpreted as an actual credit, financial, healthcare, legal, account or other real-world determination unless expressly identified as such.
14Acceptable Use
You may not use JourneyGuru to:
- violate applicable law
- send unlawful spam
- send communications without required authority
- intentionally bypass opt-outs
- intentionally bypass Do Not Call controls
- impersonate another person or business deceptively
- falsify caller identity
- commit fraud
- facilitate phishing
- facilitate social engineering
- distribute malware
- gain unauthorized system access
- harass or threaten others
- transmit intentionally deceptive communications
- interfere with platform security
- reverse engineer Services except where legally permitted
- abuse provider infrastructure
- circumvent platform restrictions
- evade communications-provider policies
- rotate senders to avoid enforcement
- use JourneyGuru for illegal surveillance
- interfere with another Customer's use of JourneyGuru
JourneyGuru may establish additional prohibited or restricted use-case policies.
15Emergency Use
Unless expressly agreed and configured for an approved use case, JourneyGuru should not be used as the sole means of:
- contacting emergency services
- dispatching emergency assistance
- sending life-safety notifications
- making emergency medical determinations
JourneyGuru demos must never be relied upon for emergency assistance.
16Intellectual Property
JourneyGuru and its licensors retain all rights in:
- the JourneyGuru platform
- JourneyGuru software
- JourneyGuru APIs
- JourneyGuru design
- documentation
- trademarks
- technology
- platform-generated system components
except for Customer Data and third-party materials.
Subject to applicable agreements, JourneyGuru grants authorized users a limited, non-exclusive, non-transferable right to use the Services for authorized business purposes during the applicable service period.
17Feedback
If you voluntarily provide ideas, suggestions or feedback concerning JourneyGuru, JourneyGuru may use that feedback to improve or develop its products and services without an obligation to compensate you, provided JourneyGuru does not thereby obtain ownership of Customer Confidential Information or Customer Data.
18Privacy
JourneyGuru's processing of personal information is described in our Privacy Policy.
Customer Data may also be subject to a separately executed:
- Data Processing Agreement
- Business Associate Agreement
- Customer Agreement
where applicable.
19Confidentiality
Where the parties have entered into an agreement containing confidentiality obligations, that agreement controls.
JourneyGuru will use Customer Confidential Information only as permitted by the applicable agreement.
These online Terms do not reduce stronger confidentiality obligations established in an executed Customer agreement.
20Fees and Payment
Paid Services may be governed by an Order Form, subscription plan, Customer agreement or other purchase document.
Customers agree to pay applicable fees according to the agreed commercial terms.
Applicable taxes, communications fees, carrier fees, registration fees, usage fees or third-party charges may apply depending upon the Services purchased.
21Third-Party Services
JourneyGuru may depend upon or integrate with third-party services.
JourneyGuru does not control third-party services and is not responsible for their independent:
- terms
- privacy practices
- availability
- outages
- policy changes
- features
Third-party services may be governed by separate agreements between the Customer and the applicable provider.
22Service Changes
JourneyGuru may update or modify the Services over time.
JourneyGuru may discontinue functionality where reasonably necessary due to:
- provider changes
- security
- legal requirements
- product evolution
- operational requirements
Where commercially appropriate, JourneyGuru will address material service changes according to the applicable Customer agreement.
23Suspension
JourneyGuru may suspend or restrict access where reasonably necessary because of:
- security risk
- fraud
- abuse
- unlawful use
- unpaid amounts where contractually permitted
- violation of these Terms
- provider or carrier enforcement
- threat to platform integrity
- legal requirements
Where reasonable and permitted, JourneyGuru may provide notice and an opportunity to remedy the issue.
24Termination
Users may stop using publicly available JourneyGuru Services at any time.
Paid Customer termination rights are governed by the applicable Order Form or Customer agreement.
Provisions that by their nature should survive termination may continue, including provisions concerning:
- ownership
- confidentiality
- payment obligations
- limitations of liability
- dispute terms
- Customer responsibilities
- intellectual property
25Disclaimer of Warranties
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS AVAILABLE” BASIS. JOURNEYGURU DOES NOT GUARANTEE UNINTERRUPTED OPERATION OF THE SERVICES, THE DELIVERY OF ANY COMMUNICATION, THE COMPLETION OF ANY CALL, OR THE ACCURACY OF ANY AI-GENERATED OUTPUT.
THIRD-PARTY SERVICES AND COMMUNICATIONS PROVIDERS MAY FAIL, RESTRICT TRAFFIC, OR CHANGE THEIR POLICIES. JOURNEYGURU DOES NOT GUARANTEE THAT A CUSTOMER'S USE OF THE SERVICES WILL COMPLY WITH APPLICABLE LAW OR THAT ANY PARTICULAR BUSINESS OUTCOME WILL BE ACHIEVED.
TO THE EXTENT PERMITTED BY APPLICABLE LAW AND EXCEPT AS EXPRESSLY STATED IN AN APPLICABLE AGREEMENT, JOURNEYGURU DISCLAIMS ALL WARRANTIES NOT EXPRESSLY STATED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THIS DISCLAIMER DOES NOT EXCLUDE WARRANTIES THAT CANNOT LAWFULLY BE DISCLAIMED UNDER APPLICABLE LAW, NOR IS IT INTENDED TO BE INCONSISTENT WITH ANY EXECUTED CUSTOMER AGREEMENT.
26Limitation of Liability
Limitation of Liability — pending legal review
The limitation of liability for these Terms has not been finalized and no liability cap should be published until approved language is supplied. It must be completed based on JourneyGuru's corporate entity, insurance, Customer contracts, subscription economics, indemnification structure, and enterprise sales strategy. If approved MSA language exists, it should be reused here rather than creating conflicting website terms.
27Indemnification
Indemnification — pending legal review
JourneyGuru's Customer indemnification structure must address Customer misuse, Customer Data, Customer-configured communications, and violation of third-party rights. Final indemnification language has not been legally approved and must not be published until supplied.
28Governing Law and Disputes
Governing Law and Disputes — pending legal review
Governing law, venue, and any arbitration position have not been finalized and must not be assumed. The following must be completed before publication: [LEGAL ENTITY], [GOVERNING LAW], [VENUE], [ARBITRATION POSITION, IF ANY]. Mandatory arbitration or a class-action waiver must not be added without explicit legal and business approval.
29Export and Sanctions
Users must not access or use JourneyGuru in violation of applicable trade, export-control or sanctions requirements.
30Changes to Terms
JourneyGuru may update these Terms.
The current version should display an updated Last Updated date.
Material changes should be communicated where required or commercially appropriate.
Continued use after an effective update may constitute acceptance where permitted.
